Terms of sale

1. Overview

By requesting a quote, placing an order or accepting delivery, you agree to these Terms of Sale and the related policies on this site (privacy, website terms of use, returns & warranty, export compliance). If you do not agree, do not place an order.

2. Quotations and orders

Quotations are invitations to treat, not firm offers, unless stated otherwise in writing. Prices, lead times and process commitments arise only from a written quotation and a purchase order accepted by Quantum Optx. We may refuse or limit any order for any reason, including incomplete specifications, export concerns or credit risk.

You agree to provide current, complete and accurate billing, shipping and technical information. We may cancel or revise an order if information is inaccurate, or if pricing or availability was stated in error — we will notify you promptly.

3. Pricing and payment

Prices are subject to change without notice until an order is accepted. Unless otherwise agreed in writing, payment terms are net 30 days from invoice for approved accounts; all other orders may require prepayment. Late amounts may accrue interest at the maximum rate permitted by law. Title to goods remains with Quantum Optx until paid in full.

4. Products and services

Descriptions, drawings, explorer data and website images are for guidance. Final specifications are those on the approved drawing and quotation. We may limit quantities, discontinue products or modify processes without notice where performance is not reduced. Images are illustrative and may not match every grade or coating run.

5. Lead times and shipping

Lead times are estimates based on material, coating load and inspection. Delay caused by customer-furnished material, incomplete drawings, export holds or force majeure does not create liability for lost production time. Risk of loss transfers per the terms stated on the order acknowledgment. Shipping charges and duties are as quoted or prepaid and added.

6. Limited warranty

Quantum Optx warrants products to the original purchaser against defects in materials and workmanship for the periods below from the ship date, unless a different period is stated on the quotation:

• Lenses, windows, mirrors and coated optics — 30 days after ship date
• Mounts, accessories and non-optical hardware — 90 days after ship date
• Consumables and cleaning supplies — no warranty beyond arrival in undamaged condition

Within the warranty period and at our sole discretion, we will repair or replace defective parts that fail due to materials or workmanship. You must notify us within 10 days of discovering a suspected defect. We may require a Return Merchandise Authorization (RMA) before return. Shipping and packing costs for returns under warranty evaluation are as instructed on the RMA.

This warranty does not apply to products modified, mishandled, contaminated, used outside published limits, cleaned with unapproved chemistry, or installed contrary to written guidance. Repair or replacement is the exclusive remedy. We are not liable for lost revenue, downtime, scrap of customer assemblies or other consequential damages to the fullest extent permitted by law.

7. Returns (non-warranty)

• Returns within 30 days of ship date require prior written approval (RMA).
• Items ordered or shipped in error require our written approval.
• After 30 days, a restocking fee of 30% of goods value or USD 30 (whichever is greater) may apply.
• Not returnable: discounted items, modified or special-order parts, used or damaged items, inventory older than 6 months from ship date, broken packaging.
• We do not refund outbound shipping on customer-error orders and do not pay return shipping on those orders.
• Approved credits are typically issued as account credit toward future purchases unless otherwise agreed in writing.

8. Customer-furnished material (CFM)

When you supply blanks or optics for coating or further fabrication:

• Provide complete specifications (dimensions, material grade, tolerances, coatings, documentation).
• Material must arrive clean and undamaged; contaminated or scratched stock may be rejected at your expense.
• You are responsible for supplying enough material including agreed process scrap allowance.
• You assume responsibility for the quality and suitability of furnished material; we are not liable for defects inherent in that material.
• Unless agreed in writing, liability for process damage to CFM is limited to the value of the processing service, not replacement of exotic stock.
• No product warranty is offered on CFM beyond our workmanship on the agreed process steps.
• Unused material is returned only if agreed; shipping of returns is at your expense unless otherwise stated.

9. Export and prohibited uses

You represent that the goods will not be used in violation of applicable export, sanctions or end-use laws. We may request end-user statements and may decline or cancel orders that cannot be cleared. See Export compliance.

10. Intellectual property

Drawings, processes, coating designs and software tools remain our property or that of our licensors unless transferred in writing. Customer drawings remain the customer’s property; we use them only to fulfill the order and related quality records.

11. Limitation of liability

To the fullest extent permitted by law, our total liability arising out of any order is limited to the amount paid for the specific goods or services giving rise to the claim. We are not liable for indirect, incidental, special, punitive or consequential damages, including lost profits or production downtime.

12. Indemnification

You agree to indemnify and hold Quantum Optx and its officers, employees and suppliers harmless from third-party claims arising from your misuse of products, your CFM, your export representations, or your breach of these terms.

13. Governing law

These terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law rules, unless a written contract states otherwise.

14. Changes

We may update these Terms of Sale by posting a revised version on this site with a new effective date. Continued ordering after posting constitutes acceptance of the revised terms for new orders.
